Terms and Conditions
PREAMBLE
These Terms and Conditions are entered into by and between, on the one hand, Laboratoires üma, a simplified joint-stock company with a single shareholder and a capital of €1,000, duly registered with the Lyon Trade Register (RCS No. 981 407 158) and having its registered office at 31 Rue de Brest, 69002 Lyon (hereinafter “Laboratoires üma” or “üma”), and, on the other hand, any natural or legal person accessing the website umawell.fr (hereinafter “the Site”), whether acting solely as a User or as a Customer.
ACCEPTANCE OF THE TERMS AND CONDITIONS
Your access to, navigation on, and use of the Site, including the placement of an Order, shall constitute your full and unconditional acceptance of these Terms and Conditions. Any refusal of these Terms and Conditions shall require the User to immediately cease using the Site.
Laboratoires üma reserves the right to modify these Terms and Conditions at any time without prior notice, particularly in order to comply with any legal, regulatory or judicial developments. The updated Terms and Conditions shall be communicated to Customers prior to any new Order and published on the Site.
ARTICLE 1 – DEFINITIONS
Customer : Refers to any natural or legal person who purchases a Product via the Site, regardless of whether they maintain a personal account. The Customer is deemed to have read and unconditionally accepted these Terms and Conditions prior to placing any Order.
Order : Refers to the process by which the Customer selects the Products they wish to purchase, chooses the delivery options, and makes the corresponding payment. An Order shall be deemed final as soon as the payment is validated. From that moment, Laboratoires üma assumes responsibility for the Order and proceeds with the shipment of the Products in accordance with these Terms and Conditions.
Contract : Refers to these Terms and Conditions, as well as any specific conditions applicable to promotional or special offers. By accepting the Contract, the Customer acknowledges that it shall prevail over any contradictory documentation and agrees not to invoke any conditions not expressly accepted by Laboratoires üma, which shall be deemed unenforceable against it.
Personal Data : Refers to all information enabling direct or indirect identification of a natural person Customer, collected during the Order process, during the creation of a personal account, or through the use of the Site. This data includes, inter alia, the Customer’s first name, last name, email address, postal address, telephone number, as well as any other information necessary for managing the commercial relationship and complying with Laboratoires üma’s legal obligations.
Parties : Refers collectively to Laboratoires üma and any User of the Site, whether a mere visitor or a Customer who has placed an Order.
Product(s) : Refers to all goods offered for sale on the Site, notably the dietary supplements marketed by Laboratoires üma. These Products are intended for consumption in accordance with the information provided on the Site and in the accompanying usage instructions.
User : Refers to any natural or legal person who accesses the Site, whether acting merely as a visitor or as a Customer who has placed an Order. The User agrees to comply with these Terms and Conditions during their navigation on the Site and when utilizing the services provided therein.
ARTICLE 2 – SCOPE OF THE TERMS AND CONDITIONS AND CURRENT VERSION
2.1 Purpose
These Terms and Conditions have as their purpose to define the modalities and conditions under which Users may:

2.2 Acceptance and Binding Effect
Your access to, navigation on, and use of the Site implies your full and unconditional acceptance of these Terms and Conditions. Any refusal of these Terms and Conditions obliges the User to immediately cease any use of the Site.
Note: These Terms and Conditions are presented to Users prior to the placement of any Order and must be accepted before any purchase is finalized.
2.3 Amendments to the Terms and Conditions
Laboratoires üma reserves the right to modify these Terms and Conditions at any time without prior notice, particularly in order to:

Comply with legal, regulatory, or judicial evolutions;

2.3.1 Current Version
2.3.1.1 Availability and Consultation

The version of the Terms and Conditions that shall prevail is the one in force at the time of the Site’s use or the placement of an Order.
2.3.1.2 Application of the Terms and Conditions

The version of the Terms and Conditions applicable to an Order shall be that in force at the date of placement of the said Order.

Each new Order constitutes the Customer’s express acceptance of the Terms and Conditions without reservation or qualification.

In the event of any update to the Terms and Conditions, the new provisions shall apply immediately to all new Orders placed after their publication on the Site.
2.3.1.3 Refusal of the Terms and Conditions

If any User or Customer refuses all or part of these Terms and Conditions, including any subsequent updates, they must immediately cease using the Site and refrain from placing any Order.
2.3.1.4 User Responsibility and Commitment

Before placing any Order, the User declares that they have read all information relating to the Products, including their essential characteristics and the delivery terms provided by Laboratoires üma.

The User acknowledges being solely responsible for choosing the Products and ensuring that they are appropriate for their needs and health conditions.
2.3.1.5 Legal Capacity of the User

The User must be a natural person of legal age with full contractual capacity or, if acting on behalf of a legal entity, must be duly authorized to bind that entity.

In the absence thereof, the User must have express authorization from their legal representative, which they expressly acknowledge and accept.
ARTICLE 3 : PRICING
3.1 Display and Determination of Prices

All prices for the Products available on the Site are expressed in euros (€) and include all applicable taxes (TTC), including the Value Added Tax (VAT) in force in France.

The prices displayed do not include delivery fees, which are added separately prior to the confirmation of the Order.
3.2 Prices Applicable at the Time of the Order

The prices applicable to the Customer shall be those displayed on the Site at the time the Order is placed.

Any subsequent modifications to the prices shall not affect Orders that have already been confirmed and paid for.
3.3 Price Revision and Modification
Laboratoires üma reserves the right to modify its prices at any time without prior notice, particularly due to:

Fluctuations in the cost of raw materials or logistical fees;

Changes in fiscal and regulatory requirements;

The introduction of promotional or special commercial offers.
However, any price modification shall not be applied retroactively to Orders placed before the price update.
3.4 Promotions and Special Offers
Discounts, promotional codes, and special offers may be offered periodically on the Site.
Unless otherwise stated, these offers:

Are not combinable with one another;
-
Apply exclusively to non-promotional prices;
-
Cannot be used after their validity period has expired.
In the event of a return or partial cancellation of an Order that benefited from a promotion, Laboratoires üma reserves the right to recalculate the total price in accordance with the conditions of the initially applied offer.
3.5 Pricing Errors and Liability
In the event of a manifest error in a displayed price (including, without limitation, an abnormally low price resulting from a technical malfunction), Laboratoires üma reserves the right to cancel the Order.
In such an event, the Customer shall be informed as soon as possible and may choose either to:

Cancel the Order and receive a full refund; or

Confirm the Order at the corrected price.
3.6 Invoicing

A detailed invoice shall be sent to the Customer by email following the confirmation of the Order.

The Customer is advised to retain this invoice, as it serves as proof of purchase and may be used in the event of a return, warranty claim, or refund request.
ARTICLE 4 : PRODUCTS AND ITEM PRESENTATION

The Products available for sale on the Site are those displayed at the time of the Customer’s consultation. They may include, without limitation:

Laboratoires üma reserves the right to modify the range of Products offered at any time without prejudice to Orders that have already been confirmed.
4.2 Nature and Use of Products
4.2.1 Dietary Supplements

In the event of any adverse reaction, it is advised to immediately discontinue use of the Product and consult a healthcare professional.
4.2.3 Teas, Infusions, and Herbal Products

The teas, infusions, and herbal products offered on the Site are intended for consumption and must be prepared and consumed according to the instructions provided on the Site or on the packaging.

Certain ingredients may interact with medications or be contraindicated for certain populations (e.g., pregnant women, children, individuals with allergies).

4.2.4 General Precautions for Use

4.3 Customer Responsibility
The Customer acknowledges being solely responsible for:

Understanding their own health, well‑being, and care requirements;

Verifying that the Products are compatible with their physical condition and any potential allergies or intolerances;

Seeking medical advice in the event of doubt, particularly in cases such as:

Ongoing medication;
-
Pregnancy or breastfeeding;
-
Chronic illness or digestive disorders;
-
Known allergic histories.
Medical Disclaimer: The information available on the Site (studies, reviews, testimonials, articles, guides, etc.) is provided for informational purposes only and shall not in any case replace a medical diagnosis or ongoing medical supervision.
4.4 Compliance with Usage and Storage Instructions
The Customer agrees to strictly adhere to the usage instructions for the Products as provided on the Site and on the Product packaging.
Each category of Product requires specific storage conditions, namely:

Cosmetics: Store in a cool, dry place away from direct sunlight.

Teas and Infusions: Store in an airtight container, protected from moisture and strong odors.
Excessive or improper consumption may result in adverse side effects, for which Laboratoires üma shall not be held liable.
4.5 Presentation of Products and Information

Laboratoires üma endeavors to provide an accurate and complete description of the Products, including their essential characteristics, ingredients, and usage instructions.

The photographs and visuals of the Products displayed on the Site are for illustrative purposes only and are not legally binding.

Minor variations in color, texture, or size may occur due to the technical constraints of digital display.
4.6 Customer Commitment Prior to Placing an Order

Before placing any Order, the Customer acknowledges having reviewed all information relating to the Products and having received all necessary details to make an informed purchase decision.

Laboratoires üma shall not be held responsible for any improper choice by the Customer or for any non‑compliant use of the Products.
ARTICLE 5 : ORDERING
5.1 Navigation and Selection of Products
The User may freely navigate the Site without any obligation to purchase. To place an Order, the Customer selects the desired Products and adds them to their virtual shopping cart. Prior to confirmation of the Order, the Customer has access to a detailed summary, which includes:

The total price, including any discounts and delivery fees;

Available delivery options;
-
The selected payment method.
5.2 Creation of a Customer Account (Optional)
Creating a personal account on the Site is not mandatory in order to place an Order.
However, a personal account enables the Customer to:

Access their invoices and payment confirmations;

Manage their personal preferences and information;
-
Receive exclusive offers and loyalty benefits (if available).
In order to create an account, certain Personal Data must be provided.
Attention: The Customer is solely responsible for the accuracy and updating of their personal information.
5.3 Validation and Confirmation of the Order

The Customer reviews and validates their shopping cart and selects their delivery and payment options.

The Customer acknowledges having read these Terms and Conditions and expressly accepts the conditions prior to finalizing the purchase.

The Order is confirmed once full payment is received.

A confirmation email summarizing the Order details is sent to the Customer at the email address provided.
The confirmation email contains:

The details of the purchased Products;

The total amount paid;

The delivery address provided by the Customer;

The chosen delivery method.
5.4 Invoicing
An electronic invoice is sent by email immediately upon payment confirmation. The Customer is advised to print or save this invoice as proof of purchase.
5.5 Product Availability and Out-of-Stock Situations
Laboratoires üma undertakes to honor all confirmed Orders, subject to stock availability.
In the event that one or more Products become unavailable after the Order has been confirmed, the Customer shall be notified by email and may choose between:

A full refund of the amount corresponding to the unavailable Products;
-
A deferred shipment once the Products become available again (unless permanently withdrawn from the catalog).
Laboratoires üma shall not be held responsible for any consequences resulting from an out-of-stock situation occurring after the Order has been confirmed.
5.6 Modifications and Cancellations

A confirmed Order cannot be modified or canceled, except in exceptional cases (e.g., manifest error or technical issue).

In the event of an error in the provided delivery address, the Customer must immediately contact Customer Service before the shipment is dispatched.

Once the Order is dispatched, no modifications shall be possible.
5.7 Liability
Laboratoires üma reserves the right to refuse or cancel an Order in the following cases:

Incomplete or incorrect information provided;
-
Any attempt at fraud or suspicion of fraudulent use of payment methods;

Non-receipt of payment;
-
Product unavailability, in accordance with Article 5.5.
Under no circumstances shall Laboratoires üma be held responsible for any damage suffered by the Customer in the event of:

Product unavailability after Order confirmation;
-
Shipping delays beyond its control (including logistical issues or force majeure events).

5.7 Subscriptions and Recurring Orders
5.7.1 Subscription Benefits
By subscribing to a service with Laboratoires üma, the Customer benefits from the following advantages:

Free shipping on all subscription Orders;

A 15% discount on each Order compared to the standard price;
-
Guaranteed delivery, even in the event of an out-of-stock situation for the relevant Products;
-
A flexible subscription with a minimum duration of 3 months, with no commitment beyond this period: cancellation is possible after the first three months;
-
Simplified management: you may modify the delivery frequency and the quantity of Products at any time through your customer area.
5.7.2 Subscription and Billing Conditions

The Customer may subscribe to a service when placing an Order on the Site by selecting the “Subscription” option on the product page.
-
Recurring Orders are automatically billed at each billing cycle using the payment method registered by the Customer.
-
The Customer will be notified by email prior to each renewal and may modify or cancel the subscription before the billing deadline.
-
Any modifications or cancellations must be made at least 48 hours before the scheduled shipment in order to be applied to the next delivery.
Note: No modification or cancellation shall be possible for a subscription Order that has already been dispatched.
5.7.3 Modification and Management of the Subscription
The Customer may, at any time via their personal account,:

Modify the delivery frequency (e.g., monthly, biweekly, quarterly);
-
Change the quantity of Products delivered;
-
Temporarily pause the subscription;
-
Cancel the subscription after the initial 3‑month commitment.
In the event of non‑payment or any transaction issue, the subscription may be suspended until the payment information is updated.
5.7.4 Cancellation and Right of Withdrawal for Subscriptions

After the first three months, the Customer may cancel their subscription at any time without incurring any fees.

The cancellation shall take effect immediately, except where an Order is already in the process of being prepared.
-
If the Customer exercises their right of withdrawal within 14 days following the subscription, a refund may be requested, provided that the unused and undamaged Products are returned.
Any cancellation or modification of a subscription must be made via the customer area or by email at bonjour@umawell.com.
ARTICLE 6 : DELIVERY
6.1 Delivery Fees and Conditions
Delivery fees are displayed as all taxes included (TTC) during the checkout process.

The amount of the fees may vary depending on:

The destination of the shipment;
-
The weight and volume of the Order;
-
The chosen delivery method.
By confirming the Order, the Customer accepts these fees.
6.2 Delivery Timeframes
Delivery timeframes are indicated on the Site and exclude Saturdays, Sundays, and public holidays.
These timeframes include both the preparation of the Order and its shipment.
In the absence of any specifically indicated timeframe, delivery shall not exceed 30 days from the confirmation of the Order (in accordance with Article L. 216-1 of the Consumer Code).
Delivery timeframes are provided for informational purposes only and may be affected by circumstances beyond the control of Laboratoires üma.
6.3 Transportation and Liability
Laboratoires üma engages external service providers (couriers, postal services, etc.) for transportation.
Laboratoires üma shall not be held liable for delays caused by these service providers or by external events (strikes, health crises, weather conditions, etc.).
The Customer is informed that additional fees may be applied in the event of repeated non‑receipt of the delivery due to absence or an incorrect address.
6.4 Receipt of the Order and Transfer of Risk
The transfer of risk and liability for the Products shall occur upon receipt of the shipment by the Customer.
In cases of delivery requiring a signature, such signature shall serve as evidence of proper receipt.
6.4.1 Inspection of the Shipment
The Customer must inspect the shipment upon receipt and immediately report any discrepancies (e.g., damaged package, missing Products, delivery errors) by:

Refusing the delivery and stating the reason on the carrier’s document;
-
Taking photographs of the shipment in the event that an anomaly is observed;
-
Contacting Laboratoires üma within 48 hours at bonjour@umawell.com.
Any Order received and signed without reservation shall be deemed to be in full conformity and in perfect condition.
6.5 Delays or Non‑Delivery
If the Customer does not receive their shipment within the indicated timeframe, they must contact Customer Service.
In the event of confirmed loss of the shipment by the carrier, Laboratoires üma may either dispatch a new Order or issue a full refund.
If the delay exceeds 30 business days, the Customer may request the cancellation of the Order and receive a full refund, except where the delay is due to a force majeure event.
ARTICLE 7 : PAYMENT
7.1 Accepted Payment Methods
The Customer may make payment on the Site (umawell.fr) using the following methods:

Credit Card: Visa, Mastercard, Maestro, American Express processed via secure platforms Stripe and PayPal;
-
Payment via PayPal: The Customer may use their PayPal account or pay directly by card through the PayPal platform;
-
Installment or Deferred Payment via Scalapay: A payment plan service subject to Scalapay’s approval;
-
Payment via Airwallex: An option dedicated to international payments and multicurrency transactions.
No other payment method (cash, cheques, direct bank transfer) shall be accepted.
7.2 Transaction Security
All transactions are secured through SSL and 3D Secure protocols, thereby ensuring the protection of the Customer’s banking information.
Laboratoires üma neither stores nor has access to the Customer’s banking details, which are processed directly by the payment providers Stripe, PayPal, Scalapay, and Airwallex.
The Customer warrants that they have the necessary authorization to use the selected payment method and commits to maintaining sufficient funds in their bank account at the time of payment.
Any attempt at fraudulent payment shall result in the cancellation of the Order and may be subject to legal proceedings.
7.3 Payment via PayPal, Scalapay, and Airwallex
The use of the PayPal, Scalapay, and Airwallex solutions is subject to the respective Terms and Conditions of these providers, accessible on their respective websites:
Laboratoires üma does not control or intervene in the management of payments made via these services and shall not be held responsible for any malfunctions, disputes, or payment refusals associated with these third-party providers.
By confirming payment via one of these services, the Customer also accepts their respective Terms and Conditions, which may only be modified by the providers themselves.
7.4 Payment Validation and Confirmation

An Order shall be deemed validated only after confirmation of payment by the relevant payment provider.
-
Once payment is accepted, the Customer shall receive an email confirmation of the Order detailing the purchase.
-
In the event of payment rejection, the Order shall be automatically cancelled, and the Customer will be required to attempt payment anew.
For installment payments via Scalapay, the Customer agrees to comply with the payment schedule set by the provider. Any failure to meet these deadlines may result in penalties imposed by Scalapay.
7.5 Fraud Prevention and Banking Security
Laboratoires üma reserves the right to perform additional verifications in the event of suspected fraud, including, but not limited to:

Requesting a copy of an identity document or proof of address prior to dispatching the Order;

Temporarily or permanently suspending a suspicious Order until payment verification is completed.
In cases of fraudulent payment or unauthorized use of a payment method, Laboratoires üma may provide the necessary information to the competent authorities and initiate appropriate legal proceedings.
7.6 Refunds and Payment Cancellations

In the event of an Order cancellation or a return in accordance with these Terms, a refund shall be issued to the same payment method used for the purchase within 14 business days following validation of the return.

For payments made via Scalapay, the refund shall be processed in accordance with the conditions defined by Scalapay.

Laboratoires üma shall not be held responsible for delays in external banking processing (including those associated with PayPal, Scalapay, or Airwallex).
In the event of cancellation of an Order paid in installments, the terms for refund and cancellation shall be those set forth by Scalapay.
ARTICLE 8 – RIGHT OF WITHDRAWAL & 30‑DAY SATISFACTION GUARANTEE
8.1 Exercise of the Right of Withdrawal
In accordance with Articles L.221‑18 et seq. of the French Consumer Code, the Customer shall have a period of 14 calendar days from the receipt of the Order to exercise the right of withdrawal, without the need to provide any justification or incur any penalty.
General return conditions are as follows:

The Product must be new, unused, unopened, and in its original packaging in perfect condition.

Any Product that is damaged, incomplete, or has its packaging deteriorated shall not be accepted for return.
-
The Customer must include a copy of the invoice or any element that enables identification of the Order and its holder.
8.2 30‑DAY SATISFACTION GUARANTEE
In addition to the legal right of withdrawal, Laboratoires üma offers a “Satisfaction or Refund” guarantee for 30 days following receipt of the Product.
8.2.1 Eligibility Conditions for the 30‑Day Guarantee

If the Customer is not satisfied with their purchase, they may request a refund within 30 days from the date of receipt.
-
This guarantee applies solely to first‑time purchases of a given Product (and not to repeat orders or subscriptions).
-
Products may be opened and used; however, they must be returned with at least 50% of their content remaining to be eligible for a refund.
This guarantee excludes:
-
Dietary supplements that are empty or completely consumed.
-
Cosmetics and personal care products that have been entirely used.
-
Teas, infusions, or similar products that have been fully consumed.
The objective of this guarantee is to allow the Customer to try our Products with complete peace of mind, without assuming any financial risk.
8.3 Return and Refund Procedure
8.3.1 Notification of Withdrawal or Refund Request
The Customer must notify Laboratoires üma of their decision by:

For the Right of Withdrawal (14 days): Contact via email at bonjour@umawell.com or through the withdrawal form available on the Site;

For the 30‑Day Guarantee: Contact via email explaining their dissatisfaction and attaching a photograph of the Product prior to return.
8.3.2 Return of the Product

The Customer must ship the Product within 14 days from the date of the return request.

Return shipping costs shall be borne by the Customer, except in cases where the error is attributable to Laboratoires üma.
8.3.3 Receipt and Inspection of the Return

Upon receipt of the returned Product, Laboratoires üma shall verify its compliance with the return or guarantee conditions.

If the Product does not meet the conditions, it shall not be refunded and may be returned to the Customer at their expense.
8.3.4 Refund Timeline

The refund shall be processed within 14 business days following the receipt and validation of the returned Product, using the same payment method employed for the Order.

Initial delivery fees shall not be refunded, except where the return is due to an error on the part of Laboratoires üma.
8.4 Exclusions to the Right of Withdrawal and the 30‑Day Guarantee
In accordance with Article L.221‑28 of the French Consumer Code, certain Products cannot be returned for reasons of hygiene and sanitary safety, notably:

Dietary supplements from which the sealing or safety label has been removed (except under the 30‑Day Guarantee if the product retains at least 50% of its content).

Cosmetics that have been opened or tested without a valid reason.
-
Teas, infusions, and other food products that have been unsealed after delivery.
-
Bulk purchases intended for resale or professional use.
Only Products that comply with the specific return conditions shall be eligible for a refund.
8.5 Customer Responsibility for the Return

The return of the Product shall be at the Customer’s own risk.
-
Laboratoires üma shall not be held responsible in the event of loss, theft, or damage to the package during transit.
-
It is recommended to choose a shipping method with tracking and insurance.
8.6 Limitation of the Right of Withdrawal and the 30‑Day Guarantee

Only the Customer who placed the Order may exercise the right of withdrawal or request a refund under the 30‑Day Guarantee.

ARTICLE 9 – PERSONAL DATA & PRIVACY POLICY
9.1 Collection and Processing of Personal Data
Laboratoires üma collects and processes personal data in connection with:

Creating a personal account is not mandatory to place an Order. The Customer may purchase as a guest; however, certain data is required to process the Order.

The Customer’s personal data is never sold. However, it may be transmitted solely to the following service providers, for the purpose of:

Payment processing and fraud prevention (Stripe, PayPal, Scalapay, Airwallex);

Hosting and maintenance of the Site;

Marketing and commercial prospecting, subject to the Customer’s consent.
These service providers have limited access to the data and are contractually obliged to protect and process it in accordance with the GDPR.

9.6 Security and Data Protection
Laboratoires üma implements all necessary technical and organizational measures to ensure the security of personal data and to prevent any loss, theft, or unauthorized access.
In the event of any security breach or data violation, Laboratoires üma undertakes to inform the affected Customers and to notify the CNIL within 72 hours, in accordance with applicable regulations.
No banking data is stored by Laboratoires üma, as all transactions are processed via secure platforms.
9.7 Complaints & Contact with the Supervisory Authority
If the Customer believes that their rights are not being respected, they may:

ARTICLE 10 : VOUCHERS / STORE CREDITS
10.1 Definition and General Conditions
Vouchers and store credits are commercial credits issued by Laboratoires üma and redeemable on the Site (umawell.fr).
They may be granted as part of:

Promotional offers or loyalty programs;
-
Partial or full refunds of a cancelled or returned Order;
-
Exceptional commercial gestures granted by Customer Service.
A voucher or store credit does not constitute a means of payment in itself and cannot be converted into cash.
10.2 Validity Period
All vouchers and store credits are valid for 12 months from the date of issuance. After this period, any unused balance will be permanently forfeited without any possibility of extension or refund.
10.3 Conditions of Use
Vouchers and store credits are redeemable for any Products available on the Site, excluding delivery fees.
They may not be combined with one another or with other promotional codes, except where expressly provided in the associated offer.
A voucher or store credit:

May be used only once (unless the Site’s system permits split usage);

May not be exchanged for money or refunded by bank transfer;

May not be used after its expiration date.
If the value of the voucher or store credit is less than the total Order amount, the Customer must complete the payment using another accepted payment method.
10.4 Attribution and Transferability

Vouchers and store credits are issued in the name of and linked to the Customer’s account.

They may not be resold, transferred, or assigned to any third party.

In cases of fraudulent use, Laboratoires üma reserves the right to cancel the voucher or store credit without compensation.
10.5 Loss, Theft, and Liability

Laboratoires üma shall not be held responsible for the loss, theft, or fraudulent use of a voucher or store credit.

No refund or replacement shall be provided in the event of such loss.
The Customer is solely responsible for the safekeeping and proper use of their vouchers and store credits.
ARTICLE 11 : PROMOTIONAL CODES
11.1 Conditions of Use of Promotional Codes
Promotional codes apply solely to the base prices (i.e., non-discounted prices) and may not be combined with any other discounts or promotions in effect, unless expressly stated otherwise.
Promotional codes may not be combined with one another nor with vouchers or store credits.
Each promotional code may be used only once per Customer account, unless otherwise instructed by Laboratoires üma.
11.2 Method of Use
The Customer must enter a valid promotional code in the designated field before confirming their Order.
Once the Order has been confirmed, it is no longer possible to add a promotional code retroactively.
11.3 Exclusion of Refund
Promotional codes are non‑exchangeable and non‑refundable, even in the event of a return or cancellation of the relevant Order.
If a Product purchased using a promotional code is returned in accordance with these Terms and Conditions, the Customer shall be refunded only the amount actually paid, not the original price of the Product prior to the discount.
11.4 Validity Period and Limitations
Each promotional code has a specific expiration date, as indicated in the promotional offer.
Expired promotional codes may not be reactivated or applied to another Order.
Laboratoires üma reserves the right to cancel or modify any promotional offer at any time, particularly in cases of abuse or attempted fraud.
ARTICLE 12 : INTELLECTUAL PROPERTY
12.1 Intellectual Property Rights
All elements appearing on the Site (umawell.fr), without limitation, are the exclusive property of Laboratoires üma or its partners and are protected by applicable intellectual property laws and by the rights of database producers. These elements include, but are not limited to:

The “Laboratoires üma” trademark, its variations, and registered logos;

The graphic charter, layout, design, and visual identity of the Site;

The texts, descriptions, images, visuals, and illustrations of the Products;

The videos, music, and other media displayed on the Site;

The databases, including the collected and structured information on the Site;

The systems, software, and infrastructures used for the operation of the Site.
These elements are protected by copyright, trademark, design rights, and by the provisions of the French Intellectual Property Code.
12.2 Restrictions on Use
The User acquires no intellectual property rights merely by browsing the Site or placing an Order.
The following actions are strictly prohibited without prior written authorization from Laboratoires üma:

Modification, copying, adaptation, or commercial exploitation of any elements of the Site;

Extraction and reuse of all or part of the databases;

12.3 Licenses and Exceptional Authorizations
Laboratoires üma grants only a personal, non‑exclusive right to access and view the Site in accordance with these Terms and Conditions.
Any other use of the Site’s content must be subject to a prior request to Laboratoires üma and expressly authorized in writing.
Any partnerships or collaborations involving the use of the trademark, visuals, or content of the Site shall be governed by a specific contract.
12.4 Protection and Sanctions
Laboratoires üma reserves the right to initiate any legal action necessary to enforce its rights in the event of any infringement of its intellectual property.
Any violation may result in:

ARTICLE 13 : LIMITATION OF LIABILITY
13.1 General Disclaimer of Liability
Laboratoires üma expressly disclaims any liability for any direct or indirect damage arising from the use of the Site or from the purchase of Products, including, but not limited to:
A loss of data, damage to the Customer’s image or reputation.

Interruption of service, technical malfunction, or unavailability of the Site;

Inappropriate use of the Products, which does not conform to the manufacturer’s recommendations or the instructions provided on the Site.
The Customer expressly acknowledges that the use of the Site is at their own risk. The Site is provided “as is” without any warranty of continuous availability.
13.2 Limitation of Laboratoires üma’s Liability
In the event that Laboratoires üma’s liability is established, it shall be strictly limited to the total pre‑tax amount of the relevant Order.
Laboratoires üma shall not be held responsible for any indirect damages, including, but not limited to, loss of clientele, revenue, or profits; any commercial disruption or damage to reputation; or any claims by third parties related to the use of the Products.
13.3 Operation and Security of the Site
Laboratoires üma employs reasonable measures to ensure secure and uninterrupted access to the Site 24 hours a day, 7 days a week, except in cases of:

Scheduled maintenance of the Site;

Technical failure, network outage, or any incident beyond its control;
-
Cyberattacks, acts of malice, or computer viruses affecting the Site.
Any temporary or permanent interruption of the Site shall not be deemed to incur any liability on the part of Laboratoires üma.
13.4 Modification of the Site and Its Services
Laboratoires üma reserves the right to modify, suspend, or terminate any or all services of the Site, including:

The deletion or modification of existing functionalities;

The limitation or restriction of access to certain parts of the Site;

The modification of the usage conditions and pricing of the Products.
Such modifications may occur without prior notice and without Laboratoires üma being held liable for any consequences for the Customer.
13.5 Force Majeure and Events Attributable to Third Parties
Laboratoires üma shall not be held liable in the event of force majeure, as defined in Article 1218 of the French Civil Code, or in the event of:
Unforeseeable and irresistible events (natural disasters, social conflicts, acts of terrorism, pandemics, etc.);

Failure of an external service provider, including couriers, payment services, or hosting providers for the Site;
-
Fault on the part of the Customer (e.g., incorrect delivery address or non‑compliance with the Product usage conditions).
13.6 Customer Liability in the Use of the Products
The Customer agrees to strictly comply with the usage instructions provided by Laboratoires üma and/or the manufacturers of the Products.
In the event of non‑compliance with these instructions, Laboratoires üma shall not be held liable for any adverse effects, accidents, or damages resulting from improper use.
It is the Customer’s responsibility to verify that the Products are compatible with their health condition and, in case of doubt, to consult a healthcare professional prior to use.
ARTICLE 14 : STATUTORY WARRANTIES
The Products marketed on the Site (umawell.fr) are covered by the statutory warranties provided under the French Consumer Code and the French Civil Code, which allow the Customer to return a defective or non‑conforming Product free of charge.
These warranties include:

The statutory warranty of conformity (Articles L.217‑4 et seq. of the Consumer Code);
-
The statutory warranty against hidden defects (Articles 1641 et seq. of the Civil Code).
14.1 Warranty Against Hidden Defects
In accordance with Articles 1641 et seq. of the French Civil Code, Laboratoires üma is obliged to guarantee the Customer against any hidden defects in the Products sold that render them:

Unfit for the intended use; or
-
So significantly diminished in usefulness that the Customer would not have purchased them or would have paid a lower price had the defect been known.
The Customer shall have a period of two years from the discovery of the hidden defect to initiate legal action.
In this regard, after evaluating the defect, Laboratoires üma shall offer the Customer the option of either:

A full refund of the affected Product;
-
A partial refund if the Customer elects to retain the Product despite the defect.
The Customer must provide proof of the hidden defect, including documentation, photographs, or expert testimony.
14.2 Statutory Warranty of Conformity
In accordance with Articles L.217‑4 et seq. of the French Consumer Code, Laboratoires üma is obliged to deliver a Product that conforms to the Customer’s Order, namely:

A Product corresponding to the description and characteristics indicated on the Site;

A Product possessing the qualities that a Customer may reasonably expect based on the representations and information provided by Laboratoires üma.
Any defect in conformity appearing within two years from delivery is presumed to have existed at the time of delivery (unless Laboratoires üma proves otherwise).
In this case, after evaluating the defect, Laboratoires üma shall offer the Customer the choice between:

A full refund of the affected Product;
-
An exchange for an identical Product (or an equivalent one if the original Product is unavailable).
The warranty of conformity shall not cover defects resulting from improper use, failure to adhere to the usage instructions, or normal wear and tear of the Product.
14.3 Procedures for Exercising Warranty Rights
To benefit from any of the statutory warranties, the Customer must:

Notify Laboratoires üma by email at bonjour@umawell.com or via the contact form on the Site;

Provide evidence of the defect (photographs, a detailed description of the issue, the purchase invoice);

Return the Product in accordance with the instructions provided.
Return shipping costs for defective Products shall be borne by Laboratoires üma if the defect is confirmed.
14.4 Warranty Exclusions
The statutory warranties shall not apply in the following cases:

Damage resulting from improper use or failure to comply with care instructions;

Use of the Product under abnormal conditions or in a manner not consistent with its intended purpose.
ARTICLE 15 : COMPLAINTS – CUSTOMER INFORMATION

15.2 Processing of Complaints
Laboratoires üma undertakes to process any complaint within 5 business days from its receipt.
In cases of complex requests requiring additional verification, this period may be extended; in such cases, Laboratoires üma shall inform the Customer of the estimated response time.
15.3 Escalation of Complaints and Mediation
If the Customer is not satisfied with the response provided by Customer Service, they may request a review of their complaint by contacting Customer Service again at bonjour@umawell.com.
In the event of an unresolved dispute, the Customer may resort to free mediation in accordance with Articles L.612‑1 et seq. of the French Consumer Code. The mediator may only be approached after the Customer has made prior written attempts to resolve the dispute with Laboratoires üma.
Furthermore, in accordance with Article 14 of Regulation (EU) No. 524/2013, the European Commission has established an Online Dispute Resolution platform to facilitate the independent, extrajudicial settlement of online disputes between consumers and professionals within the European Union. This platform is accessible at: https://webgate.ec.europa.eu/odr/.
15.4 Liability and Exclusions
Laboratoires üma shall not be held liable if the Customer fails to follow the complaint procedure or does not provide the necessary information for the complaint to be processed.
No complaint shall be considered if submitted more than 12 months after the delivery date of the relevant Order.
ARTICLE 16 : GOVERNING LAW AND JURISDICTION
16.1 Governing Law

These Terms and Conditions shall be governed by French law, except where a mandatory legal provision applicable to the consumer requires otherwise.

In the event of any discrepancy between the French version of these Terms and any translation into another language, the French version shall prevail.
16.2 Amicable Dispute Resolution
In the event of any dispute arising from the interpretation, execution, or termination of these Terms and Conditions, the Customer agrees to first contact the Customer Service of Laboratoires üma in an effort to resolve the matter amicably.

If no amicable solution is reached within 30 days, the Customer may then refer the dispute to a consumer mediator.
16.3 Jurisdiction

Failing an amicable agreement, all disputes arising from these Terms and Conditions shall be submitted to the competent courts of Lyon.

This jurisdiction clause applies except where a mandatory legal provision (particularly in consumer law) permits the Customer to bring proceedings in the court of their domicile.
The competent courts shall be determined in accordance with the applicable rules of civil procedure in France.
